Limited Liability Companies
The tax applies to individuals. However, individual owners of entities that are pass-through or disregarded entities for federal tax purposes may owe Washington’s capital gains tax on gains from sales or exchanges made by such entities. Examples of pass through or disregarded entities include sole proprietorships, partnerships (limited liability or general), limited liability companies (LLCs), corporations electing Subchapter-S (S-corps), grantor trusts, and non-grantor trusts that would be includable in the grantor’s estate (sometimes called “incomplete gift non-grantor trusts”). Additionally, although non-grantor trusts are, generally, not subject to the Washington long-term capital gains tax, Washington beneficiaries of non-grantor trusts who receive distributions of long-term capital gains exceeding $250,000 may be subject to the tax on those distributions.

Kaitlin Miller is an Associate Attorney in the office of Jeffrey M. Grieff PS. She will be focusing her practice on estate planning and probate, as well as entity formation and governance issues. Prior to joining Jeffrey M. Grieff PS as an Associate Attorney, Kaitlin worked for the firm as a paralegal and law clerk. Kaitlin previously interned in the legal department of RLH Corporation, working on franchise contract administration, regulatory compliance and tracking of the franchise pipeline, and served as a Student Intern in the University of Washington Tribal Public Defense Clinic where she assisted attorneys in advocating for parents and children through the Muckleshoot Tribal Court system.

Foreclosure
Sections 3 and 4 are related liability topics. Section 3 “Charging Orders” topic focuses on a judgment lien against a member, to the extent that the operating agreement provides that the member’s debt cannot be satisfied from the member’s interest in the limited liability company (LLC). The judgment creditor will have to satisfy themselves with a charging order which limits the creditor to any distribution made by the LLC to that member or the foreclosure of the charging order to reach the member debtor’s assignable company interest.
